You are
invited to participate in Farmhouse Equity Researchís channel
research contest. A channel check, for the purposes of this
contest, is a brief interview with a buyer, supplier, distributor,
vendor or key customer of a publicly traded company.
GENERAL INFORMATION: The sponsor of the Channel
Research Contest (the "Contest") is Farmhouse Equity Research, LLC ("Sponsor"),
having a place of business located at 181 Ocean Avenue, Newport,
Rhode Island 02840.
NO PURCHASE IS NECESSARY TO ENTER OR WIN, AND NO OBLIGATION OF ANY KIND IS IMPLIED. THIS CONTEST IS VOID WHERE PROHIBITED, TAXED OR RESTRICTED BY LAW. PARTICIPATION CONSTITUTES ENTRANT'S FULL AND UNCONDITIONAL AGREEMENT TO AND ACCEPTANCE OF THESE OFFICIAL RULES.
Contest begins on February 1, 2010 8 a.m. Eastern Standard Time
and ends on May 31, 2010 at 11:59:59 p.m. Eastern Daylight
Time ("Contest Period").
ELIGIBILITY: The Contest is offered to all natural persons age 18 and over as of the date of entry, who are legal residents of the U.S. and Canada (excluding Quebec). Employees, independent contractors, officers, and directors of Sponsor, its affiliates, subsidiaries, distributors, advertising, promotion and fulfillment agencies, and the immediate family members and persons living in the same household of such persons are not eligible to participate in the Contest.
HOW TO ENTER: Eligible persons (each an ìEntrantî)
can enter the Contest by:
- Providing a Channel Research Note
(50-1000 words in length) by e-mail to INFO@FEQR.com. The
Channel Research Note must contain the name and telephone
number of the source(s) from which the information was derived
so that the information may be verified.
- The Channel Research Note
must pertain to one of the 100 publicly traded companies
on the list below.
- Under no circumstances should any officer,
director, employee or insider of any of the publicly traded
companies be contacted in connection with this contest or
to obtain any information of any kind.
- The only permissible
sources for this contest are: customers, suppliers, distributors,
vendors, buyers, or others who may have some direct knowledge
about the specific company.
- The Channel Research Note you
submit should contain only paraphrased opinion(s) of the
person(s) you interview. No analytical, quantitative, thematic
or derivative (3rd party or previously published) research
will be accepted.
You are permitted to enter as many times as you want during
the Contest Period. Entries will be deemed made by the authorized
account holder of the e-mail address submitted at the time
of entry. In the event of a dispute, each potential winner
may be required to provide proof that the potential winner
is the authorized account holder of the e-mail address associated
with the potentially winning entry. By participating, Entrant
agrees to the Contest Rules and the decisions of the Sponsor,
which shall be final and binding in all respects.
THE PRIZES: There will be three main prizes
(1st, 2nd and 3rd place) awarded at the end of the Contest
Period. First place prize is $5,000 (US). Second place prize
is $1,000 (US). Third place prize $500 (US). "Bullet Prizes"
of $150 may also be awarded prior to the official end of
the contest, for noteworthy channel checks. Bullet prize
winners will also be eligible for one of the three main prizes.
Sponsor will award the prizes within 45 days after the date
of the conclusion of the Contest. The winners will be notified
by mail, e-mail and/or telephone. All Federal, State, and/or
local taxes, are the sole responsibility of the winners.
A list of the winners can be obtained by writing to Farmhouse
Equity Research, LLC before December 31, 2010.
JUDGING: The
winners of the Contest will be determined Farmhouse Equity
Research, LLC in its sole discretion. In the event of a tie,
the final selection will be decided by Sponsor. Odds of winning
depend on the number of eligible entries. Conduct of the
Contest and selection of the winners are in Sponsor's sole
discretion, and Sponsor's decisions are final and binding.
Sponsor will be the sole arbiter in any dispute.
OBLIGATIONS
OF ENTRANTS AND WARRANTY: Submitted channel research
must contain the name(s) and phone number(s) of the source(s)
from which your research was obtained. No entries will be
returned to the Entrant. Entrant represents and warrants
that its submitted entry is (i) wholly original and owned
by them and is not copied from any commercial or proprietary
source or otherwise copyrighted; (ii) not protected by trade
secret; or (iii) not subject to any third party rights whatsoever,
including privacy rights. Entrant confirms that it has the
written consent, release, and/or permission of
each and every identifiable individual person quoted in the
channel research.
OWNERSHIP AND LICENSE GRANT: Entrant will
retain all of the ownership rights in the channel research.
However, in consideration of Entrant's participation in this
Contest, Entrant expressly grants and assigns to Sponsor
a perpetual royalty-free, non-exclusive, sub-licensable and
transferable, unlimited worldwide right to modify, use, reproduce,
distribute, electronically publish, and display the submitted
written material in all media, means, and forms and without
any payment to the Entrant. Entrant agrees that the submission
and use of each entry shall be subject to and governed by
the Contest Rules.
ADDITIONAL TERMS: Sponsor is not responsible
for and shall not be liable for late, lost, misdirected or
unsuccessful efforts to notify the winner. The winner may
be required to sign and return a liability release, declaration
or affidavit of eligibility, and, where lawful, publicity
consent agreement, all within fifteen days of notice to the
winner as a condition of receiving the prize. By accepting
a prize, the winner agrees to the use of the winner's name
and/or likeness for the purpose of advertising, trade or
promotion without further compensation, unless prohibited
by law.
If the selected winner cannot be contacted, is ineligible,
fails to claim a prize, or fails to timely return completed
and executed declaration/affidavit and releases as required,
prize may be forfeited and an alternate winner may be selected.
By participating, Entrant agrees
that Sponsor, its agents and representatives, and contest
event entities are not responsible for and shall not be liable
for:
- electronic hardware or software program, network,
Internet, or computer malfunctions, failure or difficulties
of any kind;
- failed, incomplete, garbled or delayed transmissions;
- any condition caused by events beyond the control
of Sponsor that may cause the Contest to be disrupted or
corrupted;
- any hardware compatibility problems;
- any printing
or typographical errors in any materials associated with
the Contest.
Sponsor reserves the right, in its sole discretion,
to suspend or cancel the Contest at any time if a computer
virus, bug, or other technical problem corrupts the administration,
security or proper play of the Contest.
RELEASE: By participating
in the Contest, Entrant agrees to release and hold Sponsor,
its affiliates, shareholders, officers, employees, agents
and representatives and event entities harmless from any
and all losses, damages, rights, claims and actions of any
kind in connection with or resulting from participation in
the Contest, acceptance, possession or use of any prize,
including without limitation, personal injuries, death, and
property damage and claims based on publicity rights, defamation,
or invasion of privacy.
GOVERNING LAW: All issues and questions
concerning the construction, validity, interpretation, and
enforceability of these Official Rules, or the rights and
obligations of participant and Sponsor in connection with
the Contest, shall be governed by, and construed in accordance
with the laws of the State of Rhode Island without regard
to the conflict of laws rules that would cause the laws of
any other jurisdiction to apply. Entrants hereby submit to
the jurisdiction and venue of the State and Federal courts
of Rhode Island and waive the right to have disputes arising
out of the subject matter hereof adjudicated in any other
forum.
MODIFICATION: Sponsor reserves the right to modify
these Contest Rules for clarification purposes without materially
affecting the terms and conditions of the Contest.
